Frequently asked questions
How long does incorporation take in Ontario?
Provincial incorporation through the Ontario Business Registry typically takes 1–5 business days. Federal incorporation takes a similar amount of time, but then requires an additional Ontario extra-provincial registration (another 1–5 business days).
Do I need a lawyer to incorporate?
For a standard single-director incorporation with one share class, you don't need a lawyer. If you're incorporating with business partners and need a shareholder agreement, or if you have complex share structures, legal advice is worth the cost. We'll let you know if your situation requires it.
What's the difference between incorporation and a sole proprietorship?
A corporation is a separate legal entity — it limits your personal liability and can have tax advantages at higher income levels. A sole proprietorship is simpler but offers no liability protection. For many founders just starting out, a sole proprietorship is fine initially. We can help you decide which makes sense for your situation.
What government fees are involved?
Ontario provincial incorporation: $300. Federal incorporation: $200 (federal) + $210 (Ontario extra-provincial) = $410 total. Business name registration (sole prop): $60. These are paid directly to the government — we charge a flat service fee on top.
